Circularo Add-On Additional Terms

Effective From: June 1, 2026 (Version 1.0)

1. Introduction

These Circularo Add-On Additional Terms (“Add-On Terms”) govern the purchase and use of Circularo Add-Ons. These Terms form an agreement between:

1.1. a corporation, organization or similar entity that purchases and uses a Circularo Add-On ("Corporate Customer") or a person who uses Circularo ("Individual User") (together, “Customer”, “you”). If you are a Corporate Customer, you have the authority to enter into agreements on behalf of your organization; and

1.2. If you are located in the European Union, Circularo Europe s.r.o. Revolucni 1082/8 11000 - Prague, Czech Republic or, if you are located anywhere else, Circularo MENA FZE, Dubai Silicon Oasis, DSO-THUB-G-D-FLEX-G018D, Dubai, United Arab Emirates (“Circularo”, “Us”, “We”). 

2. Definitions

All capitalized words in these Add-On Terms have the same definition as the Terms of Service. The following additional definitions apply to these Add-On Terms:

2.1 “Add-On” means an additional feature or  functionality that enhances your Circularo Subscription and our Services. Each Add-On is purchased separately and does not form part of your Subscription Plan. However, once purchased, an Add-On forms part of the Services that we provide to you and is governed by this document and the Terms of Service.

2.2. “Add-On Confirmation” means a written summary of your Add-On Subscriptions. These may be provided to you as part of your order confirmation, invoice, email or in-product. 

2.3. “Add-On Subscription” means your right to receive and use an Add-On. 

2.4. “Circularo Subscription” means your right to receive and use Circularo Services, subject to the Subscription Plan and Subscription Period set out in your Subscription Confirmation, set out in the Terms of Service.

2.5. “Consumption Add-On” means an Add-On that enables consumable features and functionality, as set out in the respective Consumption Limit and the Add-On Confirmation. Examples include KYC verification, Qualified timestamps and API signing transactions.

2.6. “Consumption Limit” means a quantitative threshold, cap or allowance applicable to a specific Consumption Based Add-On and may include a usage count, number of Transactions, time period or other measurable usage-based mechanism set out the Add-On Confirmation or Documentation.

2.7. “Credit” means a prepaid internal consumption unit for Consumption Based Add-Ons.

2.8. “Documentation” means the detailed information about each Add-On set out in the Add-On documentation.

2.9. “Feature Add-On” means an Add-On that enables specific features, functionality or configuration capabilities, as set out in the Add-On Confirmation. This type of Add-On is not limited by a Consumption Limit or number of Users. Examples include the SAML SSO Add-On, the REST API Add-On and Custom Domain Add-On. 

2.10. “Service Add-On” means the delivery of limited-scope services provided on a one-time basis, as set out in the Add-On Confirmation.  These Add-Ons do not grant any ongoing entitlement, usage rights or platform capability.

2.11. “Subscription Confirmation” has the meaning in the Terms of Service.

2.12. “Subscription Period” has the meaning in the Terms of Service.

2.13. “Subscription Plan” has the meaning in the Terms of Service.

2.14. “User Add-On" means an Add-On that enables certain features and functionality for a specified number of User Accounts set out in the Add-On Confirmation. This Add-On is not limited by a Consumption Limit. An example is the Collabora cDocs Add-On, which is licensed per number of Circularo Users across your organization.

3. These Terms & Amendments

3.1. Terms of Service. These Add-On Terms supplement and form part of the Terms of Service, which apply to these Add-On Terms unless expressly stated otherwise. To the extent of any inconsistency, these Add-On Terms will prevail to the extent of such inconsistency. 

3.2. Amendments. We may unilaterally amend these Add-On Terms at any time. We will do so by publishing the amended terms to our website (http://www.circularo.com ), which will be effective from the date stated on the relevant webpage. Add-Ons ordered or activated prior to this date will continue to be governed by the earlier version of these Add-On Terms until the end of the relevant Add-On subscription period. IT IS YOUR RESPONSIBILITY TO REVIEW THESE TERMS ON A REGULAR BASIS AND REMAIN APPRAISED OF ANY CHANGES.

4. Add-Ons

4.1. Add-Ons details. Detailed information about each Add-On is set out in the Documentation. This information forms part of these Add-On Terms and is incorporated by reference, including the description and overview of each Add-On, as well as all inclusions, exclusions, limits and prerequisites. 

4.2. Add-On subscription. Add-Ons are provided on a subscription basis. Each Add-On is subject to the limits set out in your Add-On Confirmation. Your right to use an Add-On is subject to these limitations, as well as: (a) (Terms) your compliance with these Add-On Terms, including any amendments; (b) (Documentation) the Documentation and any policy published on our website (www.circularo.com); and (c) (Laws) compliance with all applicable laws. 

4.3. Add-On subscription period. An Add-On can only be purchased if you have a valid Circularo Subscription. You can purchase an Add-On Subscription at any time during your Subscription Period and, from the completion of your Add-On purchase, you are entitled to receive the services associated with the relevant Add-On. You are no longer entitled to receive the services associated with the relevant Add-On when your Circularo Subscription expires or as otherwise set out in these Add-On Terms.

4.3. Add-On licensing. In providing certain Add-Ons, we may also provide you with software or access to software. If we do so, we grant you a revocable, conditional, limited, non-exclusive and non-transferable right to access and use this software, as expressly permitted by these Add-On Terms. 

4.4. Compatibility. Not all Add-Ons are compatible with each other or with your Circularo Subscription. Further information about compatibility between Add-Ons and Subscription Plans is available in the Documentation and will be confirmed at the point of purchase.

5. Using Add-Ons 

5.1. Terms of Service apply. You can use Add-Ons on the same terms as other Services, which are set out in the Terms of Service, unless otherwise stated in these Add-On Terms or the Documentation. This means that, for example, your rights and eligibility to use Add-Ons, as well as restrictions on how you can use Add-Ons, are set out in Section 5 of the Terms of Services. 

5.2. Requirements. There may be specific requirements for successful configuration and use of particular Add-Ons. These are described in the Documentation for each relevant Add-On and, in order to activate the relevant Add-On, you must meet these requirements. 

6. Third Party Add-Ons

6.1. Add-On specific terms.Certain Add-Ons may be provided by, or utilise components or services provided by third parties. To the extent an Add-On is not developed by us, you agree to be bound by the terms of the relevant service provider. By accepting these Add-On Terms, you accept the terms and conditions set out below in respect of the relevant Add-On. 

6.3. Warranties and Liability. Except for the limited warranties set out in these Add-On Terms and the Terms of Service, you acknowledge and agree that these third party services are provided on an "as is" basis, without warranty of any kind, either expressed or implied. To the extent permitted by law, neither Circularo nor any third party listed above provides any warranties and makes no representations in respect of these, including (without limitation) that an Add-On meets your requirements or business needs, will operate uninterrupted or without error, has any implied warranty of merchantability, fitness for a particular purpose or non-infringement. 

7. Purchasing & Payments 

7.1. Fees.  Fees for Add-Ons are billed and calculated differently and set out in the table below. 

7.2. Invoicing. All Add-Ons are invoiced and payable in advance and must be paid in full, without any deduction, set-off, counterclaim or withholding. NO REFUNDS WILL BE ISSUED, EXCEPT TO THE EXTENT REQUIRED BY APPLICABLE LAWS. All other payment terms set out in the Terms of Service apply to Add-Ons. 

8. Orders & Activation

8.1. Ordering. You can order Add-Ons at any time during your Subscription Period through the Circularo platform or by contacting us. You can also purchase Add-Ons through authorized Circularo partners.

8.2.  Activation. Most Add-Ons are activated automatically after payment is received and your purchase is complete. However, some Add-Ons require additional configuration or third party processing, and cannot be activated immediately on completion of a purchase. 9. Term; Termination

9.1. Term. These Add-On Terms are effective from the date you accept them and end on the expiry or termination of your Circularo Subscription.

9.2. Auto-renewal. Each Add-On Subscription automatically renews, unless you expressly opt-out by emailing us at sales@circularo.com or notify an authorised Circularo Partner, at least 30 days before the end of your current Add-On Subscription Period. Your Add-On Subscription will renew on the same terms as your current Add-On Subscription, including any Consumption Limits or number of Users. 

9.3. Suspension. If we reasonably believe that you are in breach of these Add-On Terms, including payment obligations, we may suspend your (or your Users') access to, and use of, an Add-On in whole or in part. We will use reasonable efforts to notify you prior to any suspension.

BY AGREEING TO THESE TERMS, YOU ARE CONFIRMING THAT: (A) (REVIEW) YOU HAVE HAD SUFFICIENT OPPORTUNITY TO READ, REVIEW, AND CONSIDER THESE TERMS; (B) (COMPREHENSION) YOU UNDERSTAND EACH OF SECTION IN THESE TERMS; AND (C) (ADVICE) YOU HAVE HAD SUFFICIENT OPPORTUNITY TO SEEK INDEPENDENT LEGAL ADVICE.
